Terms of Service

These Terms of Service ("Terms") govern access to and use of the Consari platform, websites, and related services (the "Service"), operated by Consari LLC ("Consari," "we," "us"). By creating an account, clicking to accept, or using the Service, you agree to these Terms on behalf of yourself and, if you are acting for a business, that business (your "Organization"). You represent that you have authority to bind your Organization.
1. Service agreement precedence
After signup, an authorized representative of your Organization reviews and electronically signs a service agreement inside the Service. If there is a conflict between that signed agreement and these Terms, the signed agreement controls.
2. The Service
The Service is business software for managing retail and reselling operations — including inventory, purchasing, pricing, selling, invoicing, reporting, and related tools. Features available to you depend on your subscription plan and the modules enabled for your account. We may improve, add, or retire features over time; we will not materially reduce the core functionality of your paid plan during a period you have already paid for.
3. Accounts and eligibility
- The Service is for business use. You must be at least 18 years old and able to form a binding contract.
- You must provide accurate account and business information and keep it current.
- You are responsible for safeguarding sign-in access (including the email accounts used for magic-link sign-in) and for all activity under your Organization's account, including activity by users you invite.
4. Subscriptions, trials, and billing
- Free trial. Eligible paid subscriptions start with the free trial stated at signup. A payment method is required for a paid-plan trial; nothing is charged until the trial ends. Cancel before the trial ends and you will not be charged. The free Solo plan has no trial clock and does not require a payment method.
- Billing. Paid-plan fees are billed in advance on a recurring monthly or annual basis after any applicable trial, plus taxes, until you cancel. A free plan has no recurring subscription fee while it remains offered at $0. Payments are processed by Stripe; we do not store your card number.
- Platform fee. Consari currently charges 0% as a platform transaction fee on payments processed through integrated checkout and invoicing. Stripe or another payment processor may charge its own processing fees under your agreement with it. Any future Consari platform fee requires advance disclosure.
- Plan changes. Upgrades take effect immediately with a prorated charge; downgrades take effect at your next renewal.
- Cancellation. You may cancel anytime in the app. You keep access through the period you have already paid for and will not be charged again. We do not refund partial periods except where required by law.
- Non-payment. If a renewal payment fails, we will retry and notify you. Continued non-payment moves your workspace to read-only (you can still view and export your data) and may ultimately result in cancellation.
5. Payment processing for your sales
Selling through the Service requires a Stripe account connected by your Organization. Charges to your customers are processed on your Stripe account under your agreement with Stripe (including the Stripe Services Agreement and Stripe Connect terms). You — not Consari — are the merchant of record for your sales, and you are responsible for your products, fulfillment, refunds, chargebacks, and the taxes on your sales.
6. Your data
- You own it. Your Organization owns the business data it submits to the Service (inventory, sales, customers, documents, and similar records). You can export your data at any time from within the app.
- Our license. You grant us the rights needed to host, process, back up, display, and transmit your data solely to provide and support the Service.
- Shared catalog. Product catalog and market-price reference data are shared across the platform. Contributions you make to the shared catalog may be visible to and used by other customers; do not put confidential information in shared catalog fields.
- Aggregated insights. We may create and use data derived from your and other customers' use of the Service — including transaction, sales, and pricing records — in de-identified, aggregated form that does not identify your Organization, its users, or its customers, in order to operate, secure, and improve the Service and to develop and provide market statistics, such as pricing benchmarks and price-confidence indicators. We will not disclose your identifiable business data to other customers without your consent.
- After cancellation. Following cancellation we retain your data for a reasonable wind-down period so you can export it, after which we may delete it.
7. Acceptable use
You agree not to:
- use the Service for anything unlawful or fraudulent, or to sell goods you are not legally permitted to sell;
- probe, disrupt, or overload the Service, or access another customer's data;
- misuse shared surfaces (including the shared product catalog) by submitting deceptive, infringing, or abusive content;
- resell or provide the Service to third parties except as your plan expressly allows;
- reverse engineer the Service except where the law permits it notwithstanding this term.
We may suspend accounts that present a security, legal, or abuse risk to the platform or other customers, and will restore access when the issue is resolved.
8. Intellectual property
The Service, including its software, design, and branding, is owned by Consari LLC and its licensors. These Terms grant your Organization a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback you choose to send us may be used without obligation to you.
9. Third-party services
The Service interoperates with third-party services (for example Stripe for payments, and external marketplaces or streaming platforms you choose to connect). Your use of those services is governed by their own terms, and we are not responsible for them.
AI subprocessing. Certain features of the Service (for example receipt and photo OCR, drafting assistance, and the AI Assistant chat) are powered by third-party artificial-intelligence providers acting as our subprocessors — currently Anthropic, PBC. Content you submit to those features (including text, images, and documents, which may include your business data) is transmitted to the provider to generate the feature's output and is handled under our agreement with the provider; it is not used by the provider to train its models. If you do not want content processed this way, do not use the AI features — the rest of the Service does not require them.
10. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Market-price data, valuations, and AI-assisted outputs in the Service are estimates provided for convenience — they are not appraisals, and we do not guarantee their accuracy. AI features may be offered in beta; AI-generated content can be inaccurate or incomplete, and you are responsible for reviewing it — including any AI-proposed change to your records — before relying on it or applying it. Nothing in the Service is legal, tax, or accounting advice.
11. Limitation of liability
To the fullest extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data; and (b) our total liability arising out of or relating to the Service is limited to the amounts your Organization paid us for the Service in the twelve (12) months before the event giving rise to the claim. These limits do not apply to your payment obligations or either party's liability that cannot be limited by law.
12. Indemnification
Your Organization will defend and indemnify Consari LLC against third-party claims arising from your data, your products and sales, or your use of the Service in violation of these Terms or the law.
13. Changes to these Terms
We may update these Terms from time to time. For material changes we will give notice (for example by email or in-app) at least 14 days before they take effect; continued use of the Service after that date constitutes acceptance. The "Last updated" date above reflects the current version.
14. Governing law and disputes
These Terms are governed by the laws of the state in which Consari LLC is organized, without regard to conflict-of-law rules, and the parties consent to the exclusive jurisdiction of the state and federal courts located there. Before filing a claim, the parties will attempt in good faith to resolve any dispute informally by contacting each other.
